Pay for Performance SEO Terms

1. Definitions

1.1. “Service Provider” means Search Markup, its employees, agents and representatives.

1.2. “Client” means the business or individual purchasing Pay for Performance SEO services.

1.3. “Services” means the Search Engine Optimisation services provided on a performance basis.

1.4. “Target Keywords” means the agreed-upon search terms for ranking purposes.

1.5. “Rankings” means organic search positions in Google Search results.

1.6. “Payment Terms” means the agreed-upon payment structure based on rankings.

2. Service

2.1. Initial Assessment and Strategy

  • Service Provider will conduct a full website audit
  • Develop a custom SEO strategy
  • Identify target keywords
  • Set baseline rankings
  • Define ranking goals

2.2. Service Delivery

  • On-page SEO optimization
  • Content creation and optimization
  • Technical SEO improvements
  • Link building
  • Regular monitoring and adjustments

3. Performance Metrics and Measurement

3.1. Ranking Verification

  • Rankings will be measured using industry tools
  • Google Search Console data will be the primary source
  • Rankings will be tracked from the client’s primary target location
  • Mobile and desktop rankings will be measured separately

3.2. Measurement Frequency

  • Rankings will be measured weekly
  • Monthly ranking reports will be sent
  • Clients will have access to the real-time ranking dashboard

4. Payment Terms

4.1. Performance-Based Payments

  • Payments are only due when agreed-upon rankings are achieved
  • Rankings must be maintained for at least 7 days
  • Payments based on chosen package and positions

4.2. Payment Schedule

  • Invoices will be sent monthly for rankings achieved
  • Payment due within 15 days of the invoice
  • Late payment may result in service suspension

4.3. Refund Policy

  • No refunds for achieved rankings
  • If rankings drop within 30 days of achievement, the Service Provider will fix at no extra cost

5. Client Responsibilities

5.1. Website Access

  • Grant access to website’s backend
  • Provide access to Google Search Console and Analytics
  • Keep website hosting and domain registered

5.2. Content Approval

  • Review and approve content within 5 business days
  • Provide business information and assets
  • Keep in touch with the Service Provider

5.3. Website Changes

  • Notify the Service Provider of any website changes
  • Implement technical recommendations
  • Keep the website secure and functional

6. Service Provider Obligations

6.1. Ethical

  • Only use white-hat SEO
  • Follow search engine guidelines
  • Be transparent in all optimization

6.2. Reporting

  • Send monthly reports
  • Real-time ranking monitoring
  • Document all work done

6.3. Communication

  • Respond to client queries within 24 hours
  • Send regular strategy updates
  • Notify clients of any major algorithm updates or ranking changes

7. Term and Cancellation

7.1. Contract Length

  • 6-month initial term
  • Auto-renew monthly
  • 30 days written notice to cancel

7.2. Cancellation Conditions

  • Non-payment of achieved rankings
  • Breach of terms and conditions
  • Mutual agreement to cancel
  • Force majeure

8. Limitations and Exclusions

8.1. Ranking Guarantees

  • No timeframe for ranking achievement
  • Rankings may change with algorithm updates
  • No guarantee of ranking maintenance after they achieved

8.2. Excluded Services

  • Paid ad management
  • Social media marketing
  • Website development
  • Content writing for non-SEO purposes

9. Confidentiality

9.1. Client Information

  • Protect client’s business information
  • Don’t disclose strategic data
  • Store access credentials securely

9.2. Strategy

  • Service Provider’s SEO techniques are proprietary
  • The client’s strategy cannot be shared
  • Mutual non-disclosure of business practices

10. Dispute Resolution

10.1. Resolution Process

  • Good faith negotiation first
  • Mediation if required
  • Arbitration as a last resort

10.2. Law

  • Terms governed by Indian law
  • Jurisdiction Ghaziabad, Uttar Pradesh
  • Language of communication English

11. Changes and Updates

11.1. Terms Change

  • Service Providers can change terms
  • 30 days’ notice for major changes
  • Continued use means acceptance

11.2. Package Changes

  • Pricing and package features may change
  • Existing agreements will be honored till renewal

12. Force Majeure
